Terms and Conditions

IMPORTANT NOTICE: These Terms and Conditions ("Terms") constitute a legally binding agreement between you, the user ("User" or "Customer"), and Mobbiz ("Mobbiz," "we," "us," or "our") regarding your use of the Mobbiz web and mobile applications, software, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service.

1. Access and License Grant

1.1 Subscription License

Subject to your payment of all applicable fees and compliance with these Terms, Mobbiz grants you a non-exclusive, non-transferable, revocable right to access and use the Service during the subscription term, solely for your internal business purposes.

1.2 User Accounts

  • Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction and have the legal capacity to enter into a contract to use the Service.
  • Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Mobbiz immediately of any unauthorized use or security breach.

2. Customer Responsibilities and Prohibited Uses

2.1 Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit anyone else's use and enjoyment of the Service.

2.2 Prohibited Activities

You shall not, and shall not permit any third party to:

  • Copy, modify, or create derivative works of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, lease, rent, or otherwise make the Service available to any third party.
  • Use the Service to transmit any material that is harassing, defamatory, fraudulent, or otherwise illegal.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.

2.3 Customer Data and Content

You are solely responsible for the accuracy, quality, integrity, legality, reliability, and ownership of all data and content you upload, post, or transmit using the Service ("Customer Content"). You grant Mobbiz a worldwide, royalty-free license to use, reproduce, modify, and display the Customer Content solely as necessary to provide the Service to you.

3. Fees, Payments, and Term

3.1 Fees and Payment

You agree to pay all fees and charges associated with your subscription as outlined in your selected plan or invoice ("Fees"). All Fees are non-refundable and non-cancelable unless expressly stated otherwise in writing.

3.2 Billing and Auto-Renewal

Subscriptions may automatically renew for successive periods unless you cancel your subscription prior to the renewal date. You authorize Mobbiz to charge your designated payment method for all applicable Fees upon renewal.

3.3 Changes to Fees

Mobbiz reserves the right to modify its pricing at any time. We will provide you with reasonable advance notice of any price changes. If you do not agree with the new pricing, you may terminate your subscription before the price change takes effect.

3.4 Term and Termination

  • Term: These Terms commence when you first use the Service and remain in effect until your subscription is terminated.
  • Termination by You: You may terminate your subscription at any time via your account settings. No refunds will be provided for any prepaid term.
  • Termination by Mobbiz: We may suspend or terminate your access to the Service immediately, without liability, if you breach these Terms, misuse the Service, or if required by law.

4. Intellectual Property Rights

4.1 Mobbiz Ownership

The Service, including all software, design, text, graphics, logos, and underlying technology, is and will remain the exclusive property of Mobbiz and its licensors. Your use of the Service does not grant you any ownership rights in the Service.

4.2 Customer Brand Assets

You retain all ownership rights in your business name, logo, trademarks, and any content you create using our branding tools. Mobbiz is granted a limited license to use these assets only for the purpose of displaying your brand within the Service.

5. Warranties and Disclaimers

5.1 Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. MOBBIZ EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MOBBIZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

5.2 Third-Party Services

Mobbiz may integrate with or link to third-party platforms (like social media sites). We are not responsible for the performance, reliability, or security of any third-party services. Your use of such services is governed by their respective terms and conditions.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOBBIZ, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

IN ALL CASES, MOBBIZ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO MOBBIZ FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Governing Law and Dispute Resolution

7.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria , without regard to its conflict of law principles.

7.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in Abuja, Nigeria.

8. Miscellaneous

8.1 Entire Agreement

These Terms, along with the Mobbiz Privacy Policy, constitute the entire agreement between you and Mobbiz concerning the Service.

8.2 Updates

Mobbiz reserves the right to modify these Terms at any time. We will notify you of any material changes via email or prominent notice within the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of those changes.
